1. Introduction

Welcome to YPYM Company (legally registered as PT ADI TJANDRA TEKNOLOGI, "Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website, products, software engineering services, and venture studio initiatives (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our related legal policies. If you do not agree with any part of these Terms, you must immediately discontinue your use of our Services.

2. Key Definitions and Scope

The following terms shall have the designated meanings throughout these Terms and associated service agreements:

3. Acceptance and Legal Capacity

By accessing or using our Services, you represent and warrant that you are at least 18 years of age and possess the legal capacity to enter into binding contracts under applicable Indonesian and international laws. If you represent an organization or corporate entity, you affirm that you have full authority to bind that entity to these Terms.

4. User Obligations and Prohibited Conduct

In accessing our Services, you agree to adhere to strict ethical and legal standards, including refraining from:

• Violating any applicable local, national, or international laws or regulations, including Indonesian cyber laws (UU ITE).
• Infringing upon intellectual property rights, trademarks, or proprietary trade secrets owned by YPYM or third parties.
• Transmitting, deploying, or storing malicious scripts, viruses, worms, Trojan horses, or unauthorized telemetry probes.
• Attempting unauthorized access to restricted portals, client databases, cloud infrastructure, or administrative endpoints.
• Using automated extraction utilities, bots, scrapers, or indexers on non-public interfaces without prior explicit written authorization.
• Interfering with system performance, executing denial-of-service attempts, or overloading our network infrastructure.

5. Intellectual Property Rights and Ownership

All content, source code, frameworks, branding assets, trademarks, designs, and proprietary documentation provided through our Services remain the exclusive property of YPYM Company or its licensors, safeguarded under Indonesian and international copyright conventions.

For customized engineering deliverables under formal client engagements, ownership transfers solely upon receipt of full contractual payment, subject to terms specified in separate Master Service Agreements (MSA) or Statements of Work (SOW). YPYM retains ownership of generic libraries, frameworks, tools, and background intellectual property utilized during delivery.

6. Service Provision and Warranty Disclaimer

Our digital portals, development services, and venture studio programs are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. YPYM expressly disclaims:

• Any warranty that the Services will operate without interruption, downtime, latency, or technical defects.
• Any guarantee that deliverables will achieve specific commercial, revenue, or conversion outcomes unless explicitly contracted.
• Any implied warranties of merchantability, fitness for a particular commercial purpose, or non-infringement.

We reserve the right to modify, upgrade, suspend, or discontinue any aspect of our public web offerings or service interfaces at our discretion.

7. Limitation of Liability

To the maximum extent permitted under applicable law, YPYM Company, its directors, employees, and affiliates shall not be liable for any indirect, consequential, special, punitive, or incidental damages, including loss of business profits, data corruption, business interruption, or reputational impairment.

Our cumulative aggregate liability arising from or connected to the Services shall under no circumstances exceed the total fees paid by the client to YPYM in the twelve (12) months preceding the event giving rise to the claim.

8. Indemnification

You agree to defend, indemnify, and hold harmless YPYM Company, its corporate affiliates, officers, directors, and personnel from and against any third-party claims, liabilities, losses, damages, and legal costs arising out of your misuse of the Services, breach of these Terms, or violation of applicable laws.

9. Suspension and Termination

We reserve the right to suspend or terminate your access to our Services immediately, without prior notice or liability, in the event of material breach of these Terms, suspected security compromises, or regulatory directives. Upon termination, all rights granted to access the Services shall cease immediately.

10. Governing Law and Dispute Resolution

These Terms shall be interpreted, construed, and governed in accordance with the laws of the Republic of Indonesia. Any dispute, controversy, or claim arising out of or in connection with these Terms shall first be addressed through amicable executive negotiations.

If a resolution is not achieved within thirty (30) calendar days, the dispute shall be submitted to the exclusive jurisdiction of the competent courts of South Jakarta (Pengadilan Negeri Jakarta Selatan) or resolved through arbitration under the rules of the Indonesian National Board of Arbitration (BANI).

11. Amendments and Policy Revisions

We periodically revise these Terms to reflect technical enhancements, service changes, or regulatory updates. Any modifications will become effective immediately upon posting to this page with an updated modification timestamp. Your continued engagement with our Services constitutes explicit acceptance of revised Terms.

12. Severability and Entire Agreement

If any clause or provision of these Terms is determined to be invalid, illegal, or unenforceable by an authoritative judicial body, such determination shall not affect the validity or enforceability of the remaining provisions, which shall continue in full legal force and effect.
